1. BRIEF OVERVIEW OF PROMOTION: The "MAMMA MIA!® the movie” music DOWNLOAD OFFER & INSTANT WIN GAME (collectively referred to, including the Second Chance Sweepstakes described in Rules 4 and 9, as the "Promotion") consists of (A) a Music Download Offer ("Offer") whereby participants may submit two (2) UPC symbols online from specially marked Hostess® 100 Calorie Packs and receive two (2) songs from the Universal Music Group catalog, as more specifically described in Rule 3 below; and, (B) an Instant Win Game ("Game") which participants can play on a daily basis by registering and accurately typing in the Game code from any specially marked Hostess® 100 Calorie Pack or from the no purchase method of entry described in Rule 4(b) below to see if they are an instant winner of the Grand or First Prizes, subject to verification, as more specifically described in Rules 4 and 5 below.

2. Who may enter: The Promotion is open to legal residents of the U.S. residing in one of the fifty United States or the District of Columbia and who are 18 years of age and older (or the age of majority in their state of residence, whichever is greater) as of the date of entry. Employees, officers, and directors (and members of the immediate families or households of each) of IBC Sales Corporation (“Sponsor”), its affiliated companies, subsidiaries, distributors, printers and advertising and promotion agencies, and any and all other companies associated with this promotion, including Universal City Studios, LLP are not eligible to participate. This Promotion is intended solely for viewing and participation in the United States and shall be construed and evaluated solely under United States federal, state and local laws. Do not proceed on the Promotion website if you are not a resident of the United States.

3. How to participate in the offer: The Offer starts 12:00 AM PT on or about 6/16/08; ends at 11:59 PM PT on 8/31/08, or while the supply of downloadable songs lasts, whichever occurs first ("Offer Period"). To participate, go to www.hostesscakes.com, click on the "Mamma Mia! The Movie" link, then click on "Download Offer", and carefully follow the Offer registration instructions. After you have successfully registered, enter two (2) Hostess UPC symbols from any Hostess 100 Calorie Pack of Chocolate Cakes, Golden Cakes, Carrot Cakes, Banana Muffins, Blueberry Muffins or Cinnamon Coffee Cakes during the Offer Period while supplies of downloadable songs last. For each two (2) UPC symbols you have properly entered, you will receive an email with instructions to download from Universal Music Group two (2) songs in MP3 format from the Universal Music Group catalog, while supplies of downloadable songs lasts. Download code is case sensitive. Internet Explorer 6+ strongly recommended, broadband internet connection suggested but not required. NOTE: Hostess Codes expire at 11:59:59 PM (PT) on 8/31/08. Limit: Maximum of two (2) downloads (four [4] songs) per person throughout the Offer Period regardless of email address or entry method used. In the event that a participant is incapable of complying with the requirements to redeem UPC Symbols and download music in the manner described herein, neither Sponsor, Universal Music Group nor Universal City Studios, LLP shall be obligated to redeem such UPC Symbols or provide downloaded music. The downloads have no cash value and may not be redeemed for cash or for any other merchandise. As stated more fully in Rule 10, Sponsor is not responsible for any software or technical incompatibilities or failures associated with the music download process. This Offer is for personal promotional use only; and may not be used for resale or commercial purposes.

4. How to play Game: NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. (A): Game starts at 12:00 AM PT on or about 6/16/08; ends at 11:59 PM PT on 8/31/08 ("Game Period"). During Game Period, look for the Game code on specially marked Hostess 100 Calorie Packs of Chocolate Cakes, Golden Cakes, Carrot Cakes, Banana Muffins, Blueberry Muffins and Cinnamon Coffee Cakes (“Eligible Products”) during the Game Period while supplies last. Visit www.hostesscakes.com, click on the "Mamma Mia! The Movie" link (“Game site”), then, register online during the Game Period to play by accurately typing in the Game code from the Eligible Product(s), your name, address, city, state, zip code, date of birth, daytime phone number, and e-mail address and submit your registration. Once you submit your registration, an online Game play will appear to inform you instantly if you are a potential winner, subject to verification. (B): To play without a purchase, between 6/16/08 and 8/31/08, e-mail your Game code request to: enter@hostessmammamia.com and, in return, a Game code will be e-mailed back to you. Limit: One (1) Game play per Game code request and one (1) Game code request per household address, per day, regardless of method of entry. NOTE: Each day during the Game Period that you play the Game, you will receive one (1) automatic entry into the Second Chance Sweepstakes that will award the Grand Prize if the Grand Prize is unclaimed or unawarded (See Second Chance Sweepstakes in Rule 9 below). Limit: One (1) Game play per household address, per day, regardless of e-mail address used. All Game play registrations and code requests become the property of the Sponsor and will not be acknowledged or returned.

5. DETERMINATION OF WINNING GAME PLAYS: Winning Game plays will be randomly determined each day by an algorithmic computer randomization program. If no Game Play occurs at the exact randomly determined winning time, then the first Game Play occurring immediately after the exact randomly determined winning time, will be deemed the winning Game Play, subject to verification. If you receive a winning message online, you are a potential winner subject to verification. Your Game play will be verified by independent judges whose decisions are final and binding in all respects. If, on any day during the Game Period, there are fewer participants in the Game than there are Prizes available to be won, the remaining Prizes will not be awarded on that or any following day.

6. PRIZES: A total of 10,001 Game Prizes are available to be won, approximately two hundred seventeen (217) Game Prizes each day of the Game Period. Grand Prize (1): Las Vegas Mamma Mia! Trip Weekend for 6 ("Trip"). Trip consists of round trip coach airfare for six (6) people from major airport nearest to Grand Prize Winner's residence as selected by Sponsor to Las Vegas, NV; 3 days/2 nights' hotel accommodations at Mandalay Bay Hotel (three (3) standard rooms/double occupancy); six (6) VIP tickets to the Mamma Mia! live stage show at the Mandalay Bay Theatre; six (6) Mandalay Bay $400 Spa Packages (one (1) per person); ground transportation between airport and hotel; a one (1) hour helicopter ride over the Las Vegas Strip; and a total spending allowance of One Thousand Dollars ($1,000) solely for the use of the individual Grand Prize Winner. (Total Approximate Retail Value: $22,286, depending on city of origin and time of Trip.) If actual retail value is less than stated Total Approximate Retail Value, Grand Prize Winner will not receive difference between actual retail value and Total Approximate Retail Value. All expenses not specified above, such as meals, beverages, mini-bar, entertainment, telephones, souvenirs, gratuities, insurance, personal or spa services other than as stated herein, etc., are solely the Grand Prize Winner’s responsibility. All accommodations and reservations will be as arranged by Sponsor or its designee and are subject to advance notice, holiday black-out dates and availability. Trip must be completed prior to 12/31/08. Other Trip restrictions may apply. Winner and travel companions must possess required travel documents and must travel together on same itinerary. Sponsor has no responsibility for lost, stolen, misplaced or mutilated tickets and/or travel documents, baggage, flight delays, or any other occurrences beyond its control. Sponsor is not responsible for seat availability or flight time. Sponsor has no responsibility for Grand Prize Winner's inability or failure to accept or utilize the Grand Prize as described herein or for any travel companion's inability to utilize the Grand Prize. Grand Prize Winner's travel companions must be twenty-one (21) years of age or older unless (a) Grand Prize Winner is travel companion's parent, legal guardian or spouse or (b) travel companion who is a minor in his/her state of residence is accompanied by his/her parent or legal guardian at the parent or legal guardian's expense or as one of Grand Prize Winner’s travel companions. Potential Grand Prize Winner will be required to sign and return an Affidavit of Compliance/Eligibility and Publicity/Liability Release, as allowed by law, as stated in Rule 8 below within time period stated in Sponsor's letter of notification, or Grand Prize will be forfeited and awarded in the Second Chance Sweepstakes (See Rule 9). Grand Prize Winner's travel companions must also sign and return Publicity/Liability Release, as allowed by law, prior to issuance of tickets. If a travel companion is a minor in his/her state of residence, all required documents must be signed and returned by his/her parent or legal guardian. NOTE: The Grand Prize cannot be transferred or substituted, except by Sponsor with one of equal or greater value nor can the Grand Prize be redeemed for cash; HOWEVER, in lieu of accepting the Trip as the Grand Prize, the Grand Prize Winner may, in its sole discretion, elect to receive a check in the amount of Five Thousand Five Hundred Dollars ($5,500) as the Grand Prize instead of the Trip. Regardless of the Grand Prize Winner's election, the Grand Prize Winner will be issued a Form 1099 for tax purposes in the amount of the actual retail value of the Grand Prize selected and Winner must submit his/her Social Security Number, as required by law. All federal, state and local taxes are also solely the responsibility of the Grand Prize Winner. First Prize (10,000): One (1) ticket to the movie, Mamma Mia!. (ARV: not to exceed $12.00 per ticket). NOTE: Movie tickets will be issued by Hollywood Movie Money® and may be redeemed only at theaters that are showing the Mamma Mia!, at time of presentation of movie ticketand that accept Hollywood Movie Money tickets. First Prize Winners must check which theaters in their geographic area are then currently showing Mamma Mia! and will accept their tickets for redemption. Other restrictions may apply. Movie tickets are not redeemable for cash and are non-transferable or substitutable except at Sponsor’s sole discretion. All costs and expenses not specifically included above are the responsibility of each First Prize Winner. Total ARV of Grand and First Prizes: Not to exceed $142,286.

7. Odds of winning: Odds of winning a prize depend on the total number of valid Game plays received each day during the Promotion Period, and the date and time of Game play.

8. Claiming prizes: GRAND PRIZE: Sponsor will send the potential Grand Prize Winner a prize claim package after 8/31/08 containing all necessary prize claim instructions. The potential Grand Prize Winner should keep a photocopy or screenshot of his/her winning message or prize notification for his/her records; however photocopies or screen shots are not determinative of being deemed the Grand Prize Winner. The potential Grand Prize Winner will be required to complete and return an Affidavit of Eligibility & Compliance and Liability/Publicity, as allowed by law, within ten (10) days after receipt of such forms. In the event of noncompliance with these Official Rules, or if the potential Grand Prize Winner cannot be contacted at the address on his/her Game registration or Game code request, or if notification is undeliverable, the potential Grand Prize Winner will forfeit the Grand Prize in its entirety and the Grand Prize will be awarded in the Second Chance Drawing as stated in Rule 9. FIRST PRIZE: Potential First Prize Winners will receive a link instructing them how to download and print out their tickets to participating theatres for Mamma Mia! The Movie. All potential winners are subject to verification by independent judges whose decisions are final. Only the number of prizes stated in these Official Rules will be awarded. If more winning Game plays are distributed and/or more prizes are claimed than are intended to be awarded, Sponsor reserves the right to award the claimed prizes in a random drawing from among all verified prize claims received for such prizes. All properly claimed prizes will be awarded.

9. Second Chance Sweepstakes: As stated in Rule 4 above, each time a participant plays the Game during the Game Period, s/he will also receive one (1) entry into the Second Chance Sweepstakes that will award the Game's Grand Prize if the Game's Grand Prize is unclaimed or unawarded. If the Grand Prize is unclaimed or unawarded in the Game, a potential Grand Prize winner will be selected in the Second Chance Sweepstakes on or about 9/19/08 in a random drawing from among all eligible entries received during the Game Period. NOTE: In the event that Grand Prize has been claimed and awarded in the Game, there will not be a Second Chance Sweepstakes. Odds of winning the Grand Prize in the Second Chance Sweepstakes depend on the Grand Prize not being claimed and awarded in the Game and the number of eligible entries received during the Game Period.

10. Limitations of Liability: Participants, by participating in the Promotion, release and agree to hold harmless Sponsor, its affiliates, subsidiaries, advertising and promotion agencies and each of their respective directors, officers, employees, representatives and agents (“Sponsor and Agents”) from and against any and all liability, claims or action of any kind whatsoever for any injuries, losses or damages of any kind to persons, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a downloaded song, Grand or First Prize including participating in this Promotion or in any Promotion related activity, whether sponsored, held by or paid for by a third party of by Sponsor. Additionally, Sponsor and Agents are not responsible for any virus contracted by an entrant’s computer through participation in the Promotion, for any incorrect or inaccurate information, whether caused by computer or Internet malfunction or interference, tampering, manipulation, weather or natural disaster, acts of war, or by any of the equipment or programming associated with or utilized in the Promotion and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, satellite malfunction, technical error, theft or destruction or unauthorized access. Sponsor and Agents are not responsible for lost, late, illegible, incomplete or postage due mail or for inaccessibility or unavailability of the Internet or the Website or any combination thereof. Sponsor reserves the right, at its sole discretion, to disqualify any individual it suspects of tampering with the entry process or the operation of the Promotion, to be acting in violation of the Official Rules, or to be acting in a unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any use of robotic, automatic, macro, programmed or like entry methods or third-party software or website will void all entries by such methods, and disqualify any entrant using such methods. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If, for any reason, the Promotion is not capable of running as planned by reason of, but not limited to, tampering, unauthorized intervention, fraud, technical failures, or any other causes which Sponsor, in the sole opinion of Sponsor, deems could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion and post notice of the action at www.hostesscakes.com on the Mamma Mia! The Movie Promotion link. In the event Sponsor terminates the Offer prior to the end of the Offer Period, Sponsor will honor all respective download requests received prior to said termination. If Sponsor terminates the Game prior to the end of the Game Period, Sponsor will honor all prize claims and will select the remaining prize winners in a random drawing from among all valid entries received prior to termination or as otherwise may be deemed fair and equitable by Sponsor.

UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN AWARDS FOR, AND PARTICIPANTS HEREBY WAIVE, ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR ANY OTHER DAMAGES WHATSOEVER. IN NO EVENT SHALL SPONSOR BE LIABLE TO ANY PARTICIPANT OR WINNER FOR DAMAGES THAT EXCEED THE VALUE OF THE PRIZE TO BE AWARDED TO THE INDIVIDUAL PARTICIPANT IN THIS PROMOTION.

11. PRIVACY: Any personally identifiable information collected during your participation in this Promotion will be collected and used by Sponsor, Universal Music Group, Universal City Studios, LLP and/or Hollywood Movie Money solely for purposes of the proper administration and fulfillment of the Promotion as described in these Official Rules and will not be shared with any third party except as stated in each of the aforementioned's Privacy Policy, posted respectively at http://hostesscakes.com/privacy.asp, http://www.universalstudios.com/privacy.html, and as allowed by law.

12. General: By entering the Promotion, entrants agree to be bound by these Official Rules and the decisions of the judges shall be final and binding in all respects. For purposes of these rules, a day is considered to begin at 12:00 AM PT and end at 11:59 PM. The computer clock of the webmaster hosting the Game is the official timekeeping device for the Promotion. In the event of a dispute over the identity of a potential winner, the natural person who is authorized account holder of the email address will be declared the potential winner.

13. Disputes: PARTICIPANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS PROMOTION OR ANY MUSIC DOWNLOADS OR PRIZES AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND EXCLUSIVELY BY THE UNITED STATES DISTRICT COURT FOR THE WESTERN DISTRICT OF MISSOURI (KANSAS CITY DIVISION) OR THE APPROPRIATE MISSOURI STATE COURT LOCATED IN JACKSON COUNTY, MISSOURI; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS PROOTION BUT IN NO EVENT ATTORNEYS’ FEES; AND (3) UNDER NO CIRCUMSTANCES WILL PARTICIPANT BE PERMITTED TO OBTAIN AWARDS FOR AND ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.
